Welcome to PrepAlly. These Terms & Conditions (“Terms”) govern your access to and use of the PrepAlly website, including the PrepAlly website and its related pages, content, forms, event registrations, resources, and other features (collectively, the “Site”).

Throughout these Terms, “PrepAlly,” “we,” “us,” and “our” refer to the business operating under the PrepAlly trade name.

By accessing or using the Site, you agree to these Terms. If you register for or purchase a program or service, additional program-specific registration terms, enrollment agreements, payment terms, cancellation policies, or refund policies may apply.

1. About PrepAlly

PrepAlly is an education resource platform and parent community serving families of middle and high school students.

PrepAlly identifies and curates educational resources; develops, organizes, coordinates, markets, and supports selected educational programs; provides educational information and parent resources; and connects families, where appropriate, with professors, instructors, mentors, counselors, industry professionals, and educational organizations.

PrepAlly is not a college, university, accredited educational institution, admissions office, scholarship provider, or guarantor of admission or educational outcomes.

Unless expressly stated otherwise, references to universities or other institutions describe the current or former affiliations of individual instructors, mentors, or collaborators. Such references do not imply that PrepAlly or its programs are sponsored, endorsed, administered, or approved by those institutions.

2. Educational Information; No Admissions or Outcome Guarantee

Information provided through the Site, webinars, parent communities, events, consultations, and other PrepAlly communications is intended for general educational and informational purposes.

College admissions and other educational decisions depend on many factors outside PrepAlly’s control. PrepAlly does not guarantee admission to any college, university, summer program, internship, research opportunity, competition, scholarship, award, or other educational opportunity.

Participation in a PrepAlly program does not guarantee:

admission to any educational institution or program;
publication or acceptance of a research paper;
a DOI or other publication outcome unless specifically promised in written program terms;
competition recognition, awards, or advancement;
an internship or research placement;
a recommendation letter;
a scholarship or financial award;
a particular test-score increase; or
any other academic, professional, or admissions result.

Student projects, admissions results, awards, scholarships, testimonials, survey results, and other examples displayed on the Site illustrate individual experiences. Individual results vary, and past results do not guarantee future outcomes.

3. Programs Developed or Coordinated by PrepAlly

PrepAlly may develop and deliver educational programs independently or in collaboration with professors, instructors, mentors, contractors, and partner organizations.

Program descriptions may identify expected topics, projects, deliverables, learning objectives, instructors, schedules, or potential opportunities. These descriptions represent the program as reasonably anticipated at the time of publication.

Because educational programs may evolve based on student needs, enrollment, instructor availability, academic priorities, technology, or circumstances beyond reasonable control, PrepAlly may make reasonable adjustments to:

schedules or session dates;
course sequencing;
assignments or project formats;
teaching assistants or support personnel;
online platforms or delivery methods; and
curriculum details that do not materially change the overall educational purpose of the program.

If a material change affects a paid program, PrepAlly will address the matter according to the applicable program-specific terms, enrollment agreement, cancellation policy, refund policy, and applicable law.

4. Professors, Instructors, Counselors, and Independent Professionals

PrepAlly collaborates with university professors, educators, industry professionals, mentors, counselors, contractors, and educational organizations.

Unless expressly stated otherwise in writing, these individuals and organizations may be independent contractors, collaborators, or independent third-party providers. They are not necessarily employees, agents, partners, or legal representatives of PrepAlly.

PrepAlly evaluates collaborators and resources based on factors such as available qualifications, experience, subject-matter expertise, program fit, prior experience, and feedback. However, no selection or recommendation can guarantee that a particular instructor, counselor, program, or opportunity will be appropriate for every student.

Where PrepAlly refers a family to an independent counselor, advisor, tutor, or other third-party provider, services purchased directly from that provider may be governed by a separate agreement between the family and the provider. Unless PrepAlly is expressly identified as a party to that agreement, PrepAlly is not responsible for independently contracted third-party services.

5. No University Sponsorship or Endorsement

The Site may describe an instructor or collaborator by reference to a university, employer, professional organization, publication, award, funding source, or other affiliation.

These references are provided solely to describe the individual’s background and qualifications. Unless expressly stated otherwise, PrepAlly programs are independent educational programs and are not sponsored, endorsed, administered, or approved by the universities or employers with which individual instructors or collaborators are affiliated.

All third-party names, trademarks, and institutional names belong to their respective owners.

6. Student and Parent Responsibilities

Parents and students are responsible for reviewing program descriptions, schedules, prerequisites, technology requirements, deadlines, attendance expectations, and other requirements before enrollment.

Students are expected to:

participate respectfully and appropriately;
complete assigned work and meet deadlines;
comply with academic-integrity requirements;
submit original work unless collaboration or use of outside tools is expressly permitted;
follow program and instructor guidelines;
protect confidential information shared within a class or student group; and
avoid conduct that disrupts the learning environment or harms other participants.

Student outcomes depend significantly on attendance, effort, preparation, responsiveness to feedback, and completion of required work. PrepAlly is not responsible for reduced outcomes caused by missed sessions, incomplete assignments, lack of participation, failure to meet deadlines, or failure to follow instructor guidance.

PrepAlly may suspend or remove a participant for serious or repeated misconduct, harassment, disruption, academic dishonesty, unauthorized recording, misuse or redistribution of materials, or conduct that threatens the safety, privacy, or learning experience of others.

Any refund consequences arising from removal will be determined according to the applicable program-specific terms and applicable law.

7. Minors and Parental Authorization

Many PrepAlly programs and resources are designed for middle and high school students.

A parent or legal guardian must authorize enrollment, purchases, and contractual commitments made on behalf of a minor where required by law.

Parents and guardians are responsible for determining whether a program or opportunity is appropriate for their child and for providing accurate registration information.

Children under 13 should not independently submit personal information through the Site. If PrepAlly offers a service directed to children under 13 that requires collection of personal information, appropriate parental notice and consent procedures will be used as required by applicable law.

8. Registration, Payments, Cancellations, and Refunds

Program prices, deposits, payment schedules, cancellation terms, transfer policies, and refund policies may vary by program.

The terms presented during registration, checkout, enrollment, or in a separate written agreement are incorporated by reference and govern the applicable purchase.

In the event of a conflict between these general Terms and specific written terms for a paid program, the program-specific terms will control with respect to that program.

Unless otherwise stated in writing:

enrollment is not confirmed until required payment is received;
space may be limited and offered on a first-paid or otherwise stated basis;
payment reserves program capacity and instructor resources;
missing classes or failing to participate does not automatically create a right to a refund or credit; and
enrollment does not guarantee any specific academic, competition, publication, research, test-score, or admissions outcome.

Refunds and credits, if any, will be governed by the written cancellation and refund policy applicable to the specific program and by applicable law.

PrepAlly may cancel a program because of insufficient enrollment or other operational circumstances. In that event, PrepAlly will provide the remedy stated in the applicable program terms or, if no specific terms address the situation, an appropriate refund for services not provided.

9. Research, Projects, Publications, Competitions, and Student Work

Certain PrepAlly programs may involve research projects, papers, presentations, applications, competitions, portfolios, software projects, data analysis, or other student work.

PrepAlly does not guarantee:

publication or acceptance by a journal, repository, conference, or other platform;
issuance of a DOI unless specifically included in written program terms;
acceptance into a competition or advancement to a later round;
awards, medals, keys, certificates, or rankings;
research placement or continued mentorship after the program; or
acceptance of student work by a school, summer program, internship, or college.

Students remain responsible for the originality, accuracy, academic integrity, and proper attribution of their work.

Ownership and permitted use of curriculum materials, instructor materials, code, datasets, collaborative work, and student-created work may be further addressed in program-specific terms.

10. Community Participation

PrepAlly may operate parent groups, student groups, event communities, discussion forums, or other community spaces through third-party communication platforms.

Participation in a PrepAlly community is a privilege and does not create a membership ownership interest, partnership, agency relationship, or entitlement to continued access.

Participants may not use PrepAlly communities to:

advertise or promote unrelated commercial services without permission;
solicit families, students, instructors, counselors, or partners for unauthorized commercial purposes;
distribute spam, unauthorized links, QR codes, or promotional materials;
harass or intimidate other participants;
collect or misuse personal information;
share confidential or private communications without authorization; or
disrupt the purpose or operation of the community.

PrepAlly may moderate content and remove participants who violate community rules or misuse community access.

11. Acceptable Use of the Site

You may use the Site for lawful, personal, and non-commercial purposes.

Without prior written permission, you may not:

copy, reproduce, republish, or commercially exploit Site content;
scrape, crawl, harvest, or systematically collect Site data;
compile or extract instructor, program, pricing, testimonial, family, or contact information;
use automated systems, bots, or similar tools to access or extract Site content;
impersonate another person or misrepresent an affiliation;
interfere with Site security or operation;
attempt unauthorized access to accounts, systems, or data;
upload malicious code or harmful material;
use PrepAlly content, instructor information, program descriptions, or community information to create or promote a competing offering in violation of applicable law; or
use PrepAlly branding in a manner that falsely suggests sponsorship, endorsement, or affiliation.

12. Intellectual Property

The Site and its content—including original text, program descriptions, program structures, curriculum descriptions, graphics, logos, videos, webinar materials, photographs, downloadable resources, surveys, compilations, and designs—are owned by or licensed to PrepAlly or the applicable rights holder and are protected by applicable intellectual-property laws.

You may view and use Site content for personal, non-commercial informational purposes.

Unless authorized in writing, you may not reproduce, distribute, republish, modify, sell, license, commercially exploit, or create derivative works from protected Site

content.

Nothing in these Terms transfers ownership of PrepAlly intellectual property or the intellectual property of instructors, collaborators, or third parties.

13. Testimonials, Feedback, Images, and Submitted Content

If you voluntarily provide PrepAlly with a testimonial, review, survey response, feedback, project description, photograph, video, or other material, you represent that you have the right to provide it.

PrepAlly will obtain appropriate authorization before using a minor’s identifiable name, image, voice, or student work for public promotional purposes where required.

When you separately authorize PrepAlly to publish or promote submitted content, you grant PrepAlly a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, and reasonably edit the authorized content for length, grammar, format, or clarity without materially changing its meaning.

You may contact PrepAlly regarding future use of authorized testimonial or promotional content, subject to materials already printed, published, distributed, or committed to an existing campaign.

14. Survey Results and Testimonials

Survey statistics shown on the Site reflect responses received from the participants who completed the applicable survey. Response rates and sample sizes may vary, and survey results may not represent every participant in a program.

Testimonials represent individual opinions and experiences.

Admissions outcomes, scholarships, awards, publications, score improvements, and other achievements may result from many factors, including a student’s prior preparation, effort, school environment, family support, and other experiences.

Accordingly, testimonials, survey results, and student examples should not be interpreted as guarantees of future results.

15. Third-Party Websites, Platforms, and Services

The Site and PrepAlly programs may use or link to third-party services, including payment processors, video-conferencing services, scheduling platforms, learning-management systems, cloud-storage services, social media services, application portals, and external educational resources.

PrepAlly does not control third-party services and is not responsible for their independent availability, security, privacy practices, content, policies, or actions.

Your use of third-party services may be governed by separate terms and privacy policies.

16. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and its general informational content are provided on an “as is” and “as available” basis.

PrepAlly makes reasonable efforts to provide accurate and useful information but does not warrant that Site content will always be complete, current, error-free, uninterrupted, or appropriate for every student’s circumstances.

Admissions policies, competition rules, scholarship requirements, program deadlines, testing policies, and other third-party information may change. Families should confirm material requirements with the applicable institution or organization before making important decisions.

Nothing on the Site constitutes legal, financial, medical, psychological, or mental-health advice.

17. Limitation of Liability

To the fullest extent permitted by applicable law, PrepAlly and its owners, officers, employees, and agents will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or related to:

use of or inability to use the Site;
reliance on general informational content;
actions or decisions of colleges, universities, competitions, publishers, scholarship providers, or other independent organizations;
independent services provided directly by third-party counselors or providers; or
interruptions or failures of third-party technology platforms outside PrepAlly’s reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Specific paid-program agreements may contain additional provisions appropriate to the nature of those services.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless PrepAlly and its owners, officers, employees, and agents from third-party claims, liabilities, damages, and reasonable expenses arising from:

your unlawful or unauthorized use of the Site;
your material violation of these Terms;
your infringement of another party’s intellectual-property, privacy, or other legal rights; or
content you submit without necessary rights or permissions.

This section does not require a consumer to indemnify PrepAlly for PrepAlly’s own unlawful conduct, negligence, or other liability that cannot lawfully be shifted.

19. Privacy

Your use of the Site is also subject to the PrepAlly Privacy Policy, which explains how personal information is collected, used, disclosed, and protected.

Because the business serves families and students, the Privacy Policy should be maintained as a separate document and should accurately reflect the data actually collected through Wix forms, consultation bookings, webinar registrations, payments, analytics, cookies, community intake, and program enrollment.

Maryland’s Online Data Privacy Act became effective October 1, 2025, and the statute regulates covered processing of consumer personal data; the law’s official legislative materials should be considered when assessing whether and how its requirements apply to PrepAlly’s data practices.

20. Suspension and Termination

PrepAlly may suspend or restrict access to the Site, programs, or communities when reasonably necessary to:

address a violation of these Terms or applicable program rules;
protect participants, instructors, staff, or systems;
prevent fraud, abuse, harassment, or unlawful activity; or
preserve a safe and productive learning environment.

For paid programs, financial consequences of suspension or removal will be governed by the applicable program-specific terms and applicable law.

Sections of these Terms that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, and indemnification—will survive termination.

21. Changes to These Terms

PrepAlly may update these Terms from time to time to reflect changes in services, operations, technology, or legal requirements.

Updated Terms will be posted on the Site with a revised Last Updated date and will apply prospectively from their effective date.

Material changes to these general Terms will not retroactively override specific written payment, cancellation, refund, or deliverable terms already agreed to for an existing paid program unless the parties agree otherwise or applicable law permits the change.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.

Before initiating arbitration or legal proceedings, you and PrepAlly agree to make a good-faith effort to resolve any dispute informally. If the dispute cannot be resolved, it shall be resolved through binding individual arbitration, except for claims eligible for small claims court or requests for injunctive relief.

The arbitration shall be administered by the American Arbitration Association under its applicable rules. To the fullest extent permitted by law, arbitration shall proceed on an individual basis and not as a class, collective, or representative action.

For any dispute not subject to arbitration, you agree to the jurisdiction of the appropriate state or federal courts in Maryland.

23. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

24. No Waiver

Failure by PrepAlly to enforce any provision of these Terms on one occasion does not waive the right to enforce that provision or any other provision later.

25. Entire Agreement and Order of Precedence

For general use of the Site, these Terms and the Privacy Policy constitute the agreement between the user and PrepAlly concerning Site use.

For paid programs or services, these Terms operate together with any applicable registration terms, enrollment agreement, payment schedule, cancellation policy, refund policy, media consent, or other written program-specific terms.

If there is a conflict, the more specific written terms applicable to the particular paid program or service will control for that subject matter.
